Terms of Service Agreement

BROKERAGE SERVICE TERMS AND CONDITIONS
Updated 01/15/2023 PYNK Transportation & Logistics, llc., a Pennsylvania entity, with its principal place of business at 601 East St, Easton PA, 18020 (“PYNK”) is authorized as a property broker to arrange for interstate transportation of property by motor carrier under MC-1076772 from the Federal Motor Carrier Safety Administration (“FMCSA”). These Brokerage Service Terms and Conditions (“Terms and Conditions”) apply to all arrangements entered between PYNK and a third-party shipper (“Shipper”) for whom PYNK provides property brokerage services. By tendering property for transportation by motor carriers arranged through PYNK, Shipper agrees to be bound to these Terms and Conditions. In the absence of a separate written agreement between Shipper and PYNK, the Terms and Conditions form a valid and binding contract between PYNK and Shipper.

OTR Accessorial Terms

Driver Detention - $100 Per Hour (First 2 hours are free – Eight hours maximum)
Driver Detention Trade Show - $110 Per Hour (First 2 hours are free – Eight hours maximum)
Unscheduled Layover - $500 per day, after exceeding the eight hours of detention.
Stop Off / Drop Off Fee - $125 / Pick or Stop. (Pickup and delivery are not considered stop-offs)
Reconsignment – One stop-off charge plus out-of-route mileage charge. Other charges may apply.
Driver Assist Loading - $200 per driver. It does not include sorting and segregating.
Driver Assist Unloading - $200 per driver. It does not include sorting and segregating.
Truck Order Not Used - $250 if not dispatched, $350 if dispatched. Mileage charges may apply.
Lumper Service – An actual dollar amount will be quoted before scheduling a service.
Sort and Segregate - $200 per request prior to the delivery.
Out of route Miles – Actual dollar amount determined by new origin or destination.
Redelivery Charge - One stop-off charge plus an out-of-route mileage. Other charges may apply.
Inside Pickup or Delivery with Pallet Jack – $125, plus a loading or unloading fee will apply.
Storage or Crossdock - The actual dollar amount will be quoted before scheduling a service.
Drop Trailer – Variable charge depending on the location and length of time. This is a partial list of additional accessorial charges that may occur with your shipment. We will do our best to communicate any additional costs before they are applied. Additionally, contracted motor carriers and rail providers could have their own accessorial charges and fees that could be different from the ones listed above. Again, we will do our best to mitigate any additional charges and notify our customers before any extra charges are approved and applied.

Payment terms of this agreement

Payments are due within 30 days of the date of invoice, unless otherwise indicated on the invoice(s) or contract. Payments will be applied by PYNK against open items with any remaining payment held as general credit against unpaid invoices. Overpaid amounts will be held on account for 90 days upon written notification of overpayment. After 90 days, overpayments will be retained by PYNK or applied against the oldest unpaid invoices on Applicant’s account. PYNK reserves the right to put a hold on orders for Applicant if the account is 15 days past due. PYNK reserves the right to assess a late payment charge of 1.5% per month, or the highest legal contract rate permitted by the law in the State where the applicable shipment originated, for amounts over 30 days from the invoice date. If an account is turned over to a collection agency, Applicant will be liable for all collection costs. This includes reasonable collection agency fees, court costs, attorney’s fees and any costs related to counsel for collection. Applicant and any of its personnel the Applicant believes advisable have read, understood and agree to PYNK’s Brokerage Service Terms and Conditions, as updated from time to time. PYNK’s Brokerage Service Terms and Condition can be found directly below. By submitting the Application, the Applicant agrees to PYNK’s Brokerage Service Terms and Conditions set forth below. The signing individual warrants and agrees on behalf of the Applicant contracting for the services of PYNK that all information provided above is true and correct. The Applicant’s information can and will be used to determine credit worthiness.
